Described on this page are the terms of use (“Terms”) for using HealthLevel Inc.’s (“HealthLevel”) public website (“Website”).
i. The Terms are a legal agreement that governs the User’s access of the Website.
ii. The Terms constitute the entire and exclusive understanding and agreement between HealthLevel and the User regarding the Website, and these Terms supersede and replace all prior oral or written understandings or agreements between HealthLevel and the User regarding the Website.

a. Website Function
The Website provides information about HealthLevel to the User, including (but not limited to) its products, services, company news & history, and editorial stories. It may also provide methods for the User to submit inquiries to or engage with HealthLevel. Information provided by the User is without compensation and voluntary, unless otherwise noted at the point of submission. HealthLevel is not obligated to return or respond to information submitted by the User.
HealthLevel reserves the right to restrict or deny access to any User for the purpose of (i) ensuring safe operation of the Website, (ii) ensuring compliance with these Terms, and (iii) to comply with applicable law or other legal requirements. HealthLevel reserves the right, but are not obligated, to remove or disable access to any Content, at any time and without notice, for any reason. HealthLevel has the right to investigate violations of these Terms or conduct that affects the Website. HealthLevel may also consult and cooperate with law enforcement authorities to prosecute Users who violate the law.

The Website is for individuals 18 years or older. Users under the age of 18 require the consent and supervision of a parent or legal guardian. By using the Website, the parent or guardian agrees to be responsible for the minor’s compliance with the Terms.

Unless otherwise stated, HealthLevel owns all right, title, and interest in and to the Website and Content, including all associated intellectual property rights. The User acknowledges that the Website and Content are protected by copyright, trademark, and other laws of the United States and foreign countries.
5. GRANT OF LICENSE
I. Subject to the User’s compliance with these Terms, HealthLevel hereby grants to the User a non-exclusive, non-transferable right to use the Website.
II. No title nor any intellectual property rights are transferred to the User, but rather remain with HealthLevel or its licensors, who own full and complete title, and HealthLevel and respective licensors reserve all rights not expressly granted to the User.
III. HealthLevel reserves all rights not expressly granted to the User in and to the Website and Content.
6. USER REPRESENTATIONS, CONDUCT, AND GENERAL PROHIBITIONS
By using the Website, the User represents and warrants that the User meets the eligibility requirements, has the legal capacity to access the Website, and agrees to comply with the Terms.
You also agree not to do any of the following:
i. Modify, alter, copy, distribute, create derivative works, publicly display, or perform any part of the Website or Content, including HealthLevel intellectual property, logos, and designs, without express written permission from HealthLevel;
ii. Rent, lease, lend, sell, sublicense, assign, distribute, publish, transfer, or otherwise make available the Website or any features or functionality of the Website for any reason to any third-party entity, service, or network;
iii. Use the Website to post, upload, publish, or transmit any information that: (i) disrupts the functionality of the Website or other websites; (ii) inhibits the availability or composition of Content; (iii) infringes, misappropriates, violates, or encourages any such conduct, that violates any applicable law or regulation; (iv) is violent, threatening, discriminatory, defamatory, obscene, pornographic, vulgar, offensive, fraudulent, false, misleading, or deceptive; (v) promotes illegal activity, harmful activity, illegal use of substances, bigotry, racism, hatred, harassment, or harm against any individual or group;
iv. Copy, decompile, reverse engineer, disassemble, attempt to derive the source code of, modify, or create derivative works of the Website in whole or in part, unless permitted by applicable law;

vi. Attempt to probe, scan, or test the vulnerability of or bypass security controls of the Website;

xiv. Transmit any software or other materials that contain any viruses, worms, trojan horses, defects, date bombs, time bombs, or other rogue programming or items of a destructive nature;
xv. Disparage, tarnish, or otherwise harm, in HealthLevel’s opinion, HealthLevel and/or the Website or its Content;
xvi. Harass, annoy, intimidate, or threaten any of HealthLevel’s employees or agents;
xvii. Use the Website and/or the Content as part of any effort to compete with HealthLevel;
xviii. Impersonate or misrepresent the User’s affiliation with any person or entity;
xix. Use the Website or Content for any unlawful purpose; or
xx. Encourage or enable any other individual, entity, or User to do any of the foregoing.
7. GOVERNING LAW
The Terms are governed by and construed in accordance with the laws of the State of California, United States of America, without regards to its principles of conflicts of law.
You agree that HealthLevel shall have the right to seek injunctive relief in addition to any other legal or financial remedies to which it may be entitled in the event that you, the User, breaches this agreement. Other than a legal proceeding where HealthLevel seeks injunctive relief, the User agree to submit to the exclusive jurisdiction of any State or Federal court located in the County of Santa Clara, California, United States of America, and waive any jurisdictional, venue or inconvenient forum objections to such courts. In the event that HealthLevel seeks injunctive relief, HealthLevel may do so in any country and jurisdiction that HealthLevel deems has the authority to provide the relief sought.
8. TERM AND TERMINATION
These Terms shall remain in full force and effect while the User uses the Website. WITHOUT LIMITING ANY OTHER PROVISION OF THESE TERMS, HEALTHLEVEL RESERVES THE RIGHT TO, IN HEALTHLEVEL’S SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, DENY ACCESS TO AND USE OF THE WEBSITE (INCLUDING BLOCKING CERTAIN IP ADDRESSES), TO ANY PERSON FOR ANY REASON OR FOR NO REASON, INCLUDING WITHOUT LIMITATION FOR BREACH OF ANY REPRESENTATION, WARRANTY, OR COVENANT CONTAINED IN THESE TERMS OR OF ANY APPLICABLE LAW OR REGULATION. HEALTHLEVEL MAY TERMINATE THE USER’S USE OR PARTICIPATION IN THE WEBSITE OR DELETE ANY CONTENT OR INFORMATION THAT THE USER SUBMITTED AT ANY TIME, WITHOUT WARNING, IN HEALTHLEVEL’S SOLE DISCRETION.
If HealthLevel terminates or suspends User access for any reason, the User is prohibited from accessing the Website through other methods, even if they may be acting on behalf of a third party. In addition to terminating or suspending User access, HealthLevel reserves the right to take appropriate legal action, including without limitation pursuing civil, criminal, and injunctive redress.
9. DISCLAIMER
THE WEBSITE IS PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. THE USER AGREES THAT THE USER’S USE OF THE WEBSITE AND CONTENT WILL BE AT THE USER’S SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, HEALTHLEVEL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE WEBSITE AND THE USER’S USE THEREOF, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. HEALTHLEVEL MAKES NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THE WEBSITE’S CONTENT OR THE CONTENT OF ANY WEBSITES LINKED TO THE WEBSITE AND HEALTHLEVEL WILL ASSUME NO LIABILITY OR RESPONSIBILITY FOR ANY (1) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT AND MATERIALS, (2) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM THE USER’S ACCESS TO AND USE OF THE WEBSITE, (3) ANY UNAUTHORIZED ACCESS TO OR USE OF HEALTHLEVEL’S SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN, (4) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE WEBSITE, (5) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE WHICH MAY BE TRANSMITTED TO OR THROUGH THE WEBSITE BY ANY THIRD PARTY, AND/OR (6) ANY ERRORS OR OMISSIONS IN ANY CONTENT AND MATERIALS OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF ANY CONTENT POSTED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE WEBSITE. HEALTHLEVEL DOES NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY PRODUCT OR SERVICE ADVERTISED OR OFFERED BY A THIRD PARTY THROUGH THE WEBSITE, ANY HYPERLINKED WEBSITE, OR ANY WEBSITE OR MOBILE APPLICATION FEATURED IN ANY BANNER OR OTHER ADVERTISING, AND HEALTHLEVEL WILL NOT BE A PARTY TO OR IN ANY WAY BE RESPONSIBLE FOR MONITORING ANY TRANSACTION BETWEEN THE USER AND ANY THIRD-PARTY PROVIDERS OF PRODUCTS OR SERVICES. THE USER SHALL USE THEIR BEST JUDGMENT AND EXERCISE CAUTION WHERE APPROPRIATE.
10. LIMITATIONS OF LIABILITY
IN NO EVENT WILL HEALTHLEVEL BE LIABLE TO THE USER OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM THE USER’S USE OF THE WEBSITE, EVEN IF HEALTHLEVEL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
11. INDEMNIFICATION
User agrees to defend, indemnify, and hold HealthLevel harmless, including HealthLevel’s subsidiaries, affiliates, and all of HealthLevel’s respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees and expenses, made by any third party due to or arising out of: (1) use of the Website; (2) breach of these Terms; (3) any breach of the User’s representations and warranties set forth in these Terms; (4) the User’s violation of the rights of a third party, including but not limited to intellectual property rights; or (5) any overt harmful act toward any other User of the Website with whom the User connected via the Website. Notwithstanding the foregoing, HealthLevel reserves the right, at the User’s expense, to assume the exclusive defense and control of any matter for which the User is required to indemnify HealthLevel, and the User agrees to cooperate, at the User’s expense, with HealthLevel’s defense of such claims. HealthLevel will use reasonable efforts to notify the User of any such claim, action, or proceeding which is subject to this indemnification upon becoming aware of it.
12. MISCELLANEOUS
HealthLevel’s failure to exercise or enforce any right or provision of these Terms shall not operate as a present or future waiver of such right or provision. These Terms operate to the fullest extent permissible by law. HealthLevel may assign any or all of HealthLevel’s rights and obligations to others at any time. HealthLevel shall not be responsible or liable for any loss, damage, delay, or failure to act caused by any cause beyond HealthLevel’s reasonable control. If any provision or part of a provision of these Terms is determined to be unlawful, void, or unenforceable, that provision or part of the provision is deemed severable from these Terms and does not affect the validity and enforceability of any remaining provisions. There is no joint venture, partnership, employment or agency relationship created between the User and us as a result of these Terms or use of the Website. The User agrees that these Terms of Use will not be construed against HealthLevel by virtue of having drafted them. The User hereby waives any and all defenses the User may have based on the electronic form of these Terms and the lack of signing by the parties hereto to execute these Terms.
If any provision of the Terms is found to be unlawful, void, or for any reason unenforceable, then that provision shall be deemed ineffective to the extent of such invalidity and shall not affect the validity and enforce-ability of the remainder of such provision or any remaining provisions. This is the entirety of Terms between HealthLevel and any User of the Website relating to the subject matter herein and supersedes any and all prior or contemporaneous written or oral agreements between HealthLevel with respect to such subject matter. Any heading, caption or section title contained in the Terms is inserted only as a matter of convenience and in no way defines or explains any section or provision hereof.
The failure of HealthLevel to comply with or enforce these Terms due to an act of God, war, fire, riot, terrorism, severe weather, earthquake, kidnapping, tsunami, extraterrestrial events, actions of federal, state or local governmental authorities or for any other reason beyond the reasonable control of HealthLevel, shall not be deemed a breach of these Terms.
Despite all attempts at securing all data, the Website may be subject to breaches of security. To the maximum extent permitted by law, HealthLevel is not responsible for any resulting damage to any User’s device or computer from any such security breach, or from any virus, bugs, malware, tampering, unauthorized intervention, fraud, scams, error, omission, interruption, deletion, defect, delay in operation or transmission, internet infrastructure failure or any other technical or other malfunction. User should also be aware that submissions over the internet may not be secure and should consider this before sending HealthLevel any information made available using the Website.
HealthLevel maintains certain data that User transmits to the Website for the purpose of managing the performance of the Website, as well as data relating to the Users use of the Website. Although HealthLevel performs regular routine backups of data, Users are solely responsible for all data that they transmit or that relates to any activity they have undertaken using the Website. User agrees that HealthLevel shall have no liability to the User for any loss or corruption of any such data, and the User hereby waive any right of action against HealthLevel arising from any such loss or corruption of such data.
13. ELECTRONIC COMMUNICATIONS
Visiting the Website, sending HealthLevel emails, and completing online forms constitute electronic communications. The User consents to receive electronic communications, and the User agrees that all agreements, notices, disclosures, and other communications HealthLevel provides to the User electronically through the Website satisfies any legal requirement that such communication be in writing. THE USER HEREBY AGREES TO THE USE OF ELECTRONIC DELIVERY OF NOTICES, POLICIES, AND RECORDS OF TRANSACTIONS INITIATED OR COMPLETED BY HEALTHLEVEL OR VIA THE WEBSITE. The User hereby waives any rights or requirements under any statutes, regulations, rules, ordinances, or other laws in any jurisdiction which require an original signature or delivery or retention of non-electronic records, or to payments or the granting of credits by any means other than electronic means.
User also agrees that
i. HealthLevel may access, store, process, and use any information provided to them.
ii. No compensation will be provided to User.
iii. User submissions are non-confidential and shall become the property of HealthLevel.
iv. No recourse against HealthLevel for any alleged or actual infringement or misappropriation of any proprietary right in User Submissions.
